Capital raising pathway selector

Estimate placement capacity under Listing Rules 7.1 and 7.1A and compare alternative raising structures. Built with exploration and small-cap issuers in mind.

Fully paid ordinary shares on issue

LR 7.1A special resolution passed at the last AGM and still current?

Eligibility is tested at the date of the AGM at which the resolution is passed, so a current resolution is sufficient even if the entity has since grown past the threshold or entered the S&P/ASX 300 (GN 21).

Indicative issue price (A$, optional)

Assumptions

This tool assumes no issues, approvals, ratifications or conversions in the previous 12 months and applies a flat 15% and 10% calculation to current shares on issue. The formulas in Listing Rules 7.1 and 7.1A adjust for issues, approvals, ratifications and conversions during the previous 12 months, so actual capacity may differ and should be confirmed against the issue history before any raising is announced. LR 7.1A eligibility (outside the S&P/ASX 300 with a market capitalisation at or below A$300m) is tested at the date of the AGM at which the special resolution is passed, and any 7.1A issue must be priced at not less than 75% of the 15-day VWAP. The mandate runs for 12 months and ends early on approval of certain significant transactions. Options and convertible securities consume capacity at the time of issue, not on conversion.
