Model indicative terms for a standard pro rata entitlement offer: maximum new shares, proceeds, discount, dilution and an indicative Appendix 7A timetable. Pro rata offers do not consume placement capacity under Listing Rule 7.1.

A non-renounceable pro rata issue cannot exceed one new security for each security held (Listing Rule 7.11.3); renounceable offers are not subject to that cap. Pro rata offers do not count against placement capacity under Listing Rule 7.1, and a shortfall may generally be placed within three months at not less than the offer price, subject to the Listing Rule 7.2 conditions. A low-doc offer requires a cleansing notice under s708AA of the Corporations Act and satisfaction of its conditions; entities that cannot satisfy them, or that offer new (unquoted) options, commonly proceed under a short-form prospectus. Underwritten offers add underwriting fees and termination-event risk, and any director sub-underwriting raises related party considerations.
Timetable assumptions
The timetable reflects the standard Appendix 7A pro rata timetables: announcement, Appendix 3B and the cleansing notice or prospectus lodged before market open on day 0; ex date the next business day; record date one business day after the ex date; offer documents despatched within three business days after the record date; for a renounceable offer, rights trading from the ex date until five business days before the close; and issue within five business days after the close. The directors may extend the closing date on at least 3 business days' notice to ASX. Dates skip weekends but not public holidays, assume ASX does not require timetable changes, and assume no supplementary disclosure. All dates are indicative only and must be confirmed against Appendix 7A and with the registry before any announcement.
