Ten questions against the key ASX admission requirements in Chapters 1 and 2 of the Listing Rules and Guidance Note 1. Answer honestly; unsure answers are flagged for review.

01Corporate structure

Is (or will) the entity be a public company limited by shares, with a constitution consistent with the Listing Rules?

02Financial threshold: profit test

Does the entity have A$1 million aggregated profit from continuing operations over the past three full financial years, including A$500,000 in the past 12 months?

03Financial threshold: assets test

Alternatively, will the entity have net tangible assets of at least A$4 million after fundraising costs, or a market capitalisation of at least A$15 million?

04Working capital

If relying on the assets test, will the entity have at least A$1.5 million in working capital at admission?

05Accounts

Can the entity produce audited accounts for the last three full financial years (or a shorter period acceptable to ASX)?

06Spread

Will the entity have at least 300 non-affiliated security holders, each holding a parcel worth at least A$2,000, on completion of the offer?

07Free float

Will at least 20% of the securities be held by non-affiliated holders at admission?

08Issue price

Will the securities be issued or sold at not less than 20 cents (or will ASX otherwise accept the structure)?

09Good fame and character

Have all directors, and any non-director CEO and CFO, cleared good fame and character checks (police and bankruptcy searches)?

10Escrow

Have related party, promoter and seed holdings been identified and the likely mandatory escrow modelled?

Assumptions

This checker assumes a standard ASX listing of ordinary shares by an Australian company and summarises the core admission requirements only. It does not cover foreign entities, foreign exempt listings, investment entities, debt or hybrid securities, or CDIs, each of which attracts additional requirements. ASX retains an absolute discretion on admission and may impose conditions in any case.
